A corporate name must be distinguishable from other business entity names on record.

The name of a limited liability company must contain the words “Limited-Liability Company,” “Limited Liability Company,” “Limited Company,” or “Limited” or the abbreviations “Ltd.,” “L.L.C.,” “L.C.,” “LLC” or “LC.” The word “Company’ can be abbreviated as “Co.”

File paperwork to create your business

Form your business by filing with the Secretary of State. Corporations and LLCs can file their formation documents with the state by mail, fax, email, or online at https://www.nvsilverflume.gov/startBusiness. It will cost $75 to file the Articles of Incorporation or Articles of Organization.

If you file the paper form, it will take the state 2-3 weeks to process your filing. There are expedite options if you want the paper form processed more quickly, but if you are in a hurry, filing online is your best option. Online filings are instant and there is no additional fee.

Register with the Department of Taxation

Register with the Department of Taxation. You can apply online at https://www.nevadatax.nv.gov/web/ or you can download the Nevada Business Registration form and mail or deliver it to the Department of Taxation.

Sales Tax:

Nevada has a 6.85% state sales tax. In addition to the state sales tax, businesses also have to collect any applicable city and county sales taxes.

Income Tax:

Nevada does not have a state corporate or personal income tax.

Modified Business Tax:

Nevada employers who pay $62,000 or more in taxable wages per quarter (after health care deductions) have to pay the Modified Business Tax. The rate for any taxable wages above $62,500 per calendar quarter is 1.17%. The rate for financial institutions is 2%.

You are registered for the Modified Business Tax when you register with the Nevada Employment Security Division for Unemployment Compensation. But you pay the tax to the Department of Taxation.

Do I need a business license?

You will need a Nevada Business License. You can get your business license when you form your company with the Secretary of State. The business license costs $200 and you have to renew annually.

Washoe County

You need a Washoe County license if your business is located (or you conduct business) in unincorporated Washoe County. You can get the license application online and submit it to the county by mail or in person.

City of Reno

You need a Reno business license to do business in the city. You can get an application form on the City of Reno website and then file it by mail or in person.

This is your estimated monthly tax liability. Your security deposit will be three times the amount of your monthly tax liability for monthly reporters or six times the monthly tax liability for quarterly reporters. You do not need to pay the security if your monthly tax liability is $1,000 or less.
